XML file does not conform to schema

When i run spin.exe against my new sharepoint portal server 2003
installation using the XML generated from the 2001 version when i ran
spout.exe i get this error in the log files:

XML file does not conform to schema

There is no more information on what the problem is.
Any ideas?
