You can use the backup/restore utility of Sharepoint portal  Solutions
I will suggest the following path

1. Install SPS on the new server  and create a new configuration database
2. Backup the 2 portals using the SharePoint Portal Server Data Backup
and Restore utility
3. Copy the file to the new server
4. Create the 2 Virtual Web Server in IIS
5. Restore the 2 portals using the Backup/Restore utility

My SPS server  still remains the same,
it's the database server that is changing. How should I take care of
that?

The best way is to use the same method

1. Backup the 2 portals using the SharePoint portal  Server Data Backup
and Restore utility
2. Go into Sharepoint Central Administration
3. Configure Config Database, select disconnect
4. Configure Config Database, select create and create new db on new SQL
server
5. Restore the 2 portals using the Backup/Restore utility
