Upgrade error while installing compatible document library.

SharePoint Portal Server Document Library Component: [0]
CPkmSetupComponent::InstallMSIPackage, MSI Package (spsclisrv) setup
failed with error code 0x80070643. Command=msiexec.exe. Args= /i

I have seen many posts on this, but no resolution. This happens after
I upgrade to windows 2003 and try to install the backward compatible
doc lib server components. I am following the whitepaper from
Microsoft on the Migration from sharpoint 2001 to 2003. I have been
able to reproduce this error twice. Any help would be great.

I migrate from sharepoint 2001 sp3 and the MS article #821460 say that
sp2a is supported for the upgrade, this article was last updated
September 8 2004 and they released service pack 3 in march 23 2004.
Any idea?

First, I've never gotten this error  and I'm not sure how I could
reproduce it. So, the following is just from the hip.

Are you upgrading the operating system of the target environment or
installing it from scratch? I remember something about upgrading to
Win2K3 resulting in errors. It should be a fresh install of the OS. I'm
not saying that is the problem, just something to evaluate.
