Permissions to "View all Site Contents"

i wanted to set permission to the "View All site Contents" page to a
restricted user/ Group ..

any suggestion for achieving the above.

I think your best bet is to modify the master page.
You can take the same permissions  that the "site actions" control has and give
it to the "view all site  content" control.
I am not 100% sure of the syntax, but I think its something like:
PermissionsString="AddAndCustomizePages,ApplyThemeAndBorder,ApplyStyleSheets"

It provides a Feature to hide/remove this link and move it under the Site

OR, you could just put this code in a hidden Content Editor Web Part on your
page:

#ctl00_PlaceHolderLeftNavBar_idNavLinkViewAll

Visibility:hidden;
}

</style>
