Gradual upgrade using STSADM

Can anyone please tell me why I'm receiving "Command Line" errors every
time I try to execute the following command.

C:\Program Files\Common Files\Microsoft Shared\web server
extensions\12\BIN>stsadm.exe -o upgrade -sidebyside -url
"http://spm.dev.app.com:5010/atm" -sitelistpath "C:\sites.xml"

I'm trying to use the command line utility of STSADM to perform a
gradual upgrade.
I have been successful in upgrading several sites by using the Central
Administration.
I just can't seem to get STSADM to work. The reason also that I want to
test STSADM is because I need to upgrade sites that are fairly large in
size.
Over 20GB!
Your thoughts are always appreciated.
