0x80150804:VAIFy Failed Error On Installation

I get this error when I attempt to install MS SPPS on a near
virginal W2K server with SP2.
These are the techincal Steps Taken To Resolve a "0x80150804:VAIFy"
Failed error.
Clean (non-upgraded) install of W2K Server to a Pentium Xeon Server
in our domain. Installed W2K SP 2 and verified that the SIDS were
fine. Verified using Qfecheck.exe that all hotifxes are installed
and do not conflict with SharePoint. Checked the IIS metabase and
verified that W3svc.txt has actual information and that the
Adsutil.vbs file is present. Disabled the Command Antivirus program
through services. Verified the bindings and ports in ISM for the
Default Web Site connections. Edited the registry to ensure that the
login is NOT using cached credentials. Reinstalled MDAC 2.5 w/jet
and verified that the Oledb32.dll is properly registered. Verified
that MSDTC services were running and confirmed an error free COM+
environment. I did NOT map the M: drive and have all but A-F drives
free with 18GB non clustered RAID 5 space. The date on the computer
for installation matches the Domain Controller. The Default Web Site
has Cache ISAPI Applications enabled, Keep Alives enabled and has no
HTTP headers. Checked that NT LM, WWW Publishing, Net Logon, IIS
Administrator, Event Log, Protected Storage DTC, Server, and
RPC services were all enabled.
I have attempted different timing and start options for IIS and
Sharepoint services with no success. The IP Address is static and I
have made sure that it is set to "All Unassigned" with the TCP as
PORT 80. I have checked but made no changes to the DCOM access
permissions as they were set properly. The IIS Lockdown Tool has NOT
been used at this point so I will assume, that it is not causing
problems. The Office extensions have NOT been installed which has
been verified through the registry.
I've checked the FAQs on www.sharepointserver.com as well as read
through the Resource Kit and checked with MS KB and KB Articles on
KBZ. I'm at my wits end.

One extra check - have you associated .vbs with anything other than vbsfile

i.e. check result of assoc .vbs

Installation will fail if .vbs has been associated to anything other than
the default  association.
